Library Non-Disclosure Contract

This Non-Disclosure Agreement (the "Agreement") is entered into on 27-jul-2024 between:

Party A: M Nikhil Swami (Swamix Global AI Solutions) 36MPHPS4547C1ZG ("Owner")

Party B: [RECIPIENT NAME/COMPANY] ("Recipient")

WHEREAS:

• The Owner has developed a proprietary software library (the "Library");
• The Recipient wishes to use or evaluate the Library;
• The Owner is willing to provide access to the Library subject to the terms and conditions of this Agreement.

NOW, THEREFORE, the parties agree as follows:

1. Confidential Information: "Confidential Information" means any and all information related to the Library, including but not limited to its source code, algorithms, design, functionality, and documentation.
2. Non-Disclosure: The Recipient agrees to:
   • Keep the Confidential Information strictly confidential;
   • Not disclose, distribute, or disseminate the Confidential Information to any third party;
   • Use the Confidential Information solely for the purpose of evaluating or using the Library as authorized by the Owner.
3. Protection: The Recipient shall protect the Confidential Information with at least the same degree of care as it uses to protect its own confidential information, but no less than a reasonable degree of care.
4. Term: This Agreement shall remain in effect for a period of 3 months from the date of this Agreement, or until terminated by mutual written agreement of the parties.
5. Return of Materials: Upon termination of this Agreement or upon request by the Owner, the Recipient shall promptly return or destroy all Confidential Information and any copies thereof.
6. Remedies: The Recipient acknowledges that any breach of this Agreement may cause irreparable harm to the Owner and that monetary damages may be inadequate. The Owner shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
